This agreement is made between Softlink Options Ltd and you the Client.

The purpose of the agreement is to ensure that both parties know their roles, rights and responsibilities, and to ensure that the project is successfully completed to the satisfaction of both the parties. Both parties are expected to perform their duties conscientiously and in a professional manner.
The services, fees, and other non-standard conditions are specified in the project proposal. If any project is undertaken without any proposal submission process or the project terms and conditions are not mentioned in project proposal document, it will have all the below mentioned terms assigned to it.

The parties agree: The Client will provide Softlink Options Ltd with a copy of the requirements of the project at the start of the project. The web project will be based on this. Changes to the web project will incur additional costs.
Access to Information: Softlink Options Ltd requires access to one subject matter expert (SME) or client representative who can answer questions in a timely manner. The SME is specified in the project proposal.
Softlink Options Ltd will work with other members of the Client’s team as suggested by the SME, but ultimate responsibility for the accuracy of information given to Softlink Options Ltd lies with the SME. Any information provided by SME or client’s team which is wrong and tends to change the scope of the project, then additional charges will apply to correct the same.
Provision of Equipment:  Softlink Options Ltd will provide its own general purpose computing and office equipment required for the production of the project.

Approval of Deliverable Items:  To ensure the project conforms to the Client’s expectations and that the web project is accurate, the Client is required at various stages of the web project life cycle to formally approve the deliverable items that are produced (these are specified in the project proposal).
Softlink Options Ltd will provide a draft of the item to be approved.
The Client will evaluate the draft in a timely manner and provide Softlink Options Ltd with a list of required changes. The revisions’ timings are once in two days when the team delivers the draft. If client fails to reply within two days, the project delivery time will be adjusted as per the delayed period.
Softlink Options Ltd will make the modifications that the Client requires (unless this compromises the usability or general quality of the web project) and will provide the Client with this new version. Revisions are limited as per project terms and conditions and it varies from a minimum of 3 to a maximum of 6 revisions
Following any modifications, the Client will formally approve the deliverable item in which case it passes to the next stage. This  can be either on paper or by email.

Project Fees:  The project value will be decided as per the project scope and man hours. Softlink Options Ltd reserves the right to change the design and development charges as per market conditions and internal operation needs. In case of fixed amount project, 50% of the project invoice has to be paid in advance and the rest of the 25% when Project is Live and 25% on completion and handover .

Errors and Omissions:  All completed web project must be checked carefully by the Client. Whilst utmost care is taken in the preparation of web project, no liability can be accepted for errors or omissions. Payment of the final invoice indicates that the Client has performed this check.  Softlink Options Ltd provides a 15 days period of free error correction in case Softlink Options Ltd’s error. In no case, errors occurred during clients handling of the website or web software, Softlink Options Ltd is responsible to correct the same. If the client wishes to correct it from Softlink Options Ltd, cost involved has to be paid as per new quotes.
After 15 days of period, Softlink Options Ltd is not liable for any type of services for the project. Upgrades and additional work can be taken creating a different project.

Cancellation of Project: Softlink Options Ltd reserves the rights to cancel any project with the client in any of these circumstances –
•    Nonpayment of project invoices – If the client is unable to pay the project invoices within a period of 30 days or within a period of 1 month from the day of generating the invoice.
•    Softlink Options Ltd reserves the right to suspend client account in case of the above case.
•    For nonpayment of invoices for more than 1 month, Softlink Options Ltd reserves the right cancel client account and any other project it has undertaken with the client.
•    Projects which are on hold for more than 2 months will be deemed as cancelled. In special circumstances of client’s personal loss or any greater business loss, the period can be adjusted to a maximum of 5 months.
•    If SME is not replying or not supplying information related to the project for more than 1 month the project will be deemed as suspended.
•    If the client wishes to resume any suspended project, it will attract additional cost as per current market rates. Softlink Options Ltd reserves all the rights, whether Softlink Options Ltd wants to continue with the project or not.

Additional Fees:  In addition to the Fees specified in the project proposal, the Client will pay Softlink Options Ltd  at the agreed rate for the following:
Additional work required by the Client which is outside the scope of the web project as defined in the project proposal.  Changes to the web project, which are, required as a result of changes to the required functionality or structure.    Changes to web project at the request of the Client after a deliverable item has been approved (see section 4, “Approval of Deliverable Items”).  There are no fees for normal office consumables, phone calls, printing of drafts and other small items.

Timely Disclosure :  If Softlink Options Ltd has any reason to believe that the web project cannot be finished on time, Softlink Options Ltd will inform the Client as soon as is reasonably practical.
If the Client is in any way unsatisfied with the progress or quality of Softlink Options Ltd’s work, or if the web project requirements changes, the Client will inform Softlink Options Ltd as soon as is reasonably practical.

Early Termination:  Either party may terminate the contract at any time if the other party fails to meet its obligations specified in these terms and conditions. In such case, prior to termination, the innocent party will inform the other party in writing that it is not meeting the agreed obligations and that if this is not rectified within five working days, the innocent party will terminate the agreement.
If the Client is the innocent party, then following this notice, Softlink Options Ltd will rectify the matter without expense to the Client.
If Softlink Options Ltd is the innocent party, then following this notice, Softlink Options Ltd will not spend time on the project. If the matter is rectified, and Softlink Options Ltd continues to work on the project, Softlink Options Ltd will not be liable for any delays to the provision of the web project.
If termination proceeds Full payment must be made immediately for any invoices already submitted.
Any other work done (excepting that carried out under clause b), whether or not this is complete, must also be paid for. This will be charged at the standard rate, as specified in the project proposal. Softlink Options Ltd will invoice the Client after notification of termination, and this must be paid immediately.

Confidentiality: All information supplied by either party to the other will be treated in strictest confidence.

Copyright:  Copyright of the coding of the web project will be retained by Softlink Options Ltd but the client is granted unlimited use of that coding on the web project.
Copyright of all content on the website will be retained by the creator of said content.
Softlink Options Ltd retains copyright of all web project that relates to publicly obtainable products or information that resides in the public domain.

Intellectual Property:   Any content, coding or other intellectual property that relate solely to the product will be the property of the Client.  Any other intellectual property will reside with Softlink Options Ltd .
Neither the Client nor Softlink Options Ltd shall be held responsible for circumstances beyond their reasonable control e.g. Natural calamities.
